Partner Program Terms

These Partner Program Terms (“Partner Terms”) govern your participation in the SendByte partner program operated by Echospectra Technology Limited (“Echospectra”, “we”, “us”). They apply in addition to our Terms of Service and Acceptable Use Policy. By turning on partner mode in the dashboard, you agree to these Partner Terms.

1. Joining and eligibility

Anyone with a SendByte account in good standing can join by accepting these terms in the dashboard. There is no application or approval step. We may decline, pause, or end participation for abuse, fraud, or breach of these terms or the Terms of Service.

2. The three tracks

Refer. You share your referral link or code. A customer who signs up through it is attributed to you, and you earn commission on their subscription spend for a limited period.

Manage. You run a client’s SendByte account with their explicit consent. The client owns their account and pays us directly; you are added to their workspace as a team member and earn an ongoing commission while you manage it. The client can see everything you do and can remove you at any time.

Resell. You are our customer. You own the client workspace inside your own account, buy plans from us at a wholesale rate paid from your prepaid partner wallet, and charge your client whatever you choose. The billing relationship between you and your client is yours alone, including invoicing, collection, and any taxes on it.

3. Commission and wholesale rates

• Refer: 25% of net collected subscription spend for 12 months from the referred customer’s first paid charge. Attribution lasts 60 days from the referral link visit to signup.
• Manage: 20% of net collected subscription spend for as long as the manage engagement is active.
• Resell: a 20% discount off the listed plan price, charged to your partner wallet.

“Net collected” means what the customer actually paid us after any discounts. Commission applies to subscription charges only; it never applies to wallet top-ups or overage charges.

Margin floor. Manage commission and Resell wholesale pricing are automatically adjusted so that our retained gross margin on any charge never falls below 15% after estimated sending costs. In practice this only affects unusually heavy senders; the adjustment is applied per charge and shown in your dashboard.

We may change rates for future charges with 30 days notice. Changes never rewrite commission already earned.

4. One partner per account

A client account can be connected to at most one partner at a time, across all tracks. An account referred by another partner whose commission window is still open cannot be added as a managed client.

5. Payouts

Commission accrues as customers pay and is settled monthly by bank transfer to the Nigerian bank account you set in your dashboard, once your accrued balance reaches ₦10,000. Balances below the minimum roll over. If a customer payment is refunded or charged back, the related commission is reversed; if it was already paid out, we may offset it against future payouts.

6. Client consent and conduct

For the Manage track, you may only request access to accounts whose owners you have a genuine relationship with, and access begins only after the client approves. You must not misrepresent your relationship with SendByte: you are an independent partner, not our employee, agent, or exclusive representative. You may not bid on SendByte brand keywords, send spam to promote your link, or self-refer accounts you control to farm commission. Fraudulent activity forfeits unpaid commission and ends participation.

7. Resell responsibilities

For Resell workspaces you are the customer of record: our Terms of Service, quotas, and Acceptable Use Policy apply to you for everything sent from those workspaces, whoever the end client is. You are responsible for your client’s content and recipients as if they were your own. Wholesale purchases are prepaid from your partner wallet; if the wallet cannot cover a renewal after our normal retry window, the plan lapses.

8. Taxes

Commission payouts are gross of your taxes. You are responsible for your own income tax, VAT, and any other obligations arising from partner earnings or your reselling activity.

9. Ending participation

You can stop at any time: stop sharing links, end your client engagements from the dashboard, or ask us to close your partner account. Accrued commission above the payout minimum is settled on the normal monthly cycle. We can end the program or your participation with 30 days notice, or immediately for breach; earned commission up to the end date is honored except where clause 6 applies.
